Contest Rules – General Overview:

I. There is a one-time, single payment entry fee of $59.97 per team of Three (3), or $19.99 per individual. For teams of three (3) only one payment of $59.97 will be accepted, and this amount will not be divided among the 3 team members. II. You must be at least 18 years of age and a resident of the U.S. or its legal territories. III. Employees and immediate Family members and/or affiliates of VPX are not eligible. IV. All competitors must use one or more VPX Sports product/s as part of their transformation program, and in amounts reasonably sufficient to cover twelve weeks (3 months). Along with other required written information; original purchase receipts (proof of purchase) must be mailed to VPX at the end of this contest. V. Each Team Member or Individual contestant must draft an essay/testimonial detailing how the use of VPX product/s helped them achieve their transformation goal/s. VI. Void where prohibited and restricted by law. All Federal, State and Local laws and regulations apply. By entering this Contest, you agree with all applicable law and these Contest Rules. You also agree to abide by all decisions of the Contest Sponsor. All applicants must follow rules and guidelines specifically, with no exceptions, or face disqualification. Once a team or individual is officially registered, no refunds will be offered for any reason.

II. Entries must be received on or before July 12th, 2007, by twelve noon (12:00p.m) EST.

III. Registrants must complete the online application process completely and registration fee be paid in full to be accepted for this contest.

IV. No registrations after the July 12th, 2007, twelve noon (12:00pm) deadline will be accepted.

V. All contestants will have exactly two weeks (14 days) from the start date (July 13th, 2007) to mail in their signed & notarized contracts, affidavits, release forms and beginning body-fat measurements. *Mailing address listed (above) in “Contest Start Date and Time-line Requirements” section, point number IV. VI. Mailed hardcopies must be received by July 26th, 2007, which is the 14th day following the June 13th, 2007, official start date. If these hardcopies are not received by July 26th, 2007, the contestant/s will be disqualified and no refund offered.

All entries are the property of VPX and VPX reserves the right to disqualify any entrant who violates these Rules or tampers with the promotion or the web site. Judging:

I. Body-fat results, before & after photo’s and essay/testimonials will be reviewed by a panel of judges selected by VPX.

II. The judges will select the winners in their respective prize categories based upon two levels (this does not include “Battle of the Gyms”): objective analysis of the body-fat test results and subjective review of the before & after transformation photo’s and essays/testimonials. Objectively, the winning team and/or individual must collectively gain the most muscle and lose the most body-fat cumulatively. Subjective judging will be based on the physical transformations demonstrated in the before & after digital pictures (specifics on how to take those digital pictures listed below) and the strength of the essay/testimonial.

III. Winners will be determined based on the combined subjective review of the before & after photo’s and essay/testimonials as well as the objective analysis of the final 4-point body-fat measurements.

*Winners will not be determined solely by their final body-fat measurements, and it is not guaranteed that the team or individual with the best overall objective body-composition measurements will win the top team and/or individual honors.

4-point Body-fat Measuring: * All teams and/or individual contestants are responsible for locating, hiring and/or appointing their own Certified Personal Trainer (CPT) to measure and record their before & after 4-point skin-fold body-fat measurements (detailed below). Recorded 4-point body-fat measurements taken from any individual other than a CPT will result in disqualification and no refund offered. CPT must follow the 4-point skin-fold guidelines presented below; no other form of body-fat measurement will be accepted; any body-fat measurement taken other than the required 4-point skin-fold will result in disqualification and no refund offered. 4-point Body-fat measurement form attached and hardcopy of said form must be mailed in at the beginning and end of contest as required above. Body Fat Testing Skin folds should be taken horizontally from all 4 locations shown in Figure A and Figure B. These show in cross section how the fold of skin and fat is measured. First pinch the fold of skin with the fingers of one hand as shown in figure C. Then apply the jaws of the caliper just next to the fingers as shown in figure D and squeeze the calipers using the "press" arm until the 2 arrows line up. Do not read the caliper immediately but allow the jaws to settle into the fold for 2-3 seconds. Then read the number on the scale. This is the skin fold thickness in millimeters. Enter each of the 4 readings into the appropriate input fields. Enter your total weight, your age group, your gender, then click on the Calculate button 1X The triceps location is halfway between the shoulder and elbow joints. The fold is taken in a vertical direction directly on the center of the back of the upper arm. 2X Subscapular. This is located just below the shoulder blade, taken at a 45º angle 3X Biceps testing site is on the center of the front of the upper arm. 4X Supra Illiac Crest is located on the side of the waist. Requirements for Before & After Pictures: I. Images should be taken with a minimum 3 mega pixel camera. No camera phones accepted due to poor quality. II. Minimum size of the images submitted should be 600 X 800 pixels. III. All Pre and Post Digital pictures must be backed-up on disk (CD). A/Any team and/or individual that if/when requested cannot provide VPX with their pictures backed-up on disk (CD) may face disqualification. IV. All images should be of the best quality possible and still meet the minimum requirements listed here. It is recommended that a white or solid background be used and free from any harsh, disturbing, or distracting lights, and the same background used for both before and after photo’s. V. Three images will be required at the beginning and end of the contest; front, side (one), and back images. VI. Teams need to take their digital pictures standing together, and their order from left to right needs to be the same for the “After” digital pictures as it was in the “Before” digital pictures. VII. Each team member and/or individual should have a name designation in the picture for identification purposes (ie, visible, but non-obstructive Name Tags). VIII. The Before & After digital pictures must also be taken while holding the current day’s newspaper, which will be prominently displayed in the “Front” photos, but should not obstruct the visibility of the (one) person holding the paper. We suggest that the person holding the paper do so off to the side, so not to obstruct the view of their physique. IX. Teams and Individuals must wear athletic (ie, workout style) clothing, so before and after images and transformations are easily viewed and determined. Digital pictures taken while wearing concealing clothes of any type will result in immediate disqualification and no refund will be offered. It is recommended that men wear sports/workout style shorts and no shirts, and women wear sports/workout style shorts and sports bras. It is also suggested that the clothes worn in and/or for the “Before” digital pictures are the same worn in and/or for the “After” digital pictures. X. All angles of each digital picture should show the complete image of the person/s being photographed. That is, each angle of each digital picture should show the complete upper and lower torso, which stems from the top of a person’s head all the way to the bottom of their feet; and the full upper & lower torso length of the person/s being photographed should “Zoom” to consume 95% of the picture frame. Digital pictures received that do not fully display the body as requested will cause the team and/or individual to be disqualified and no refund offered. Correct photos Wrong Photos

Date of Judging:

The goal will be to announce the Winners within four (4) weeks following the last day of the Contest: November 3rd, 2007. This date is subject to change depending on the number of qualified entries and contest participants.

Notification of Winners: :

The winners of each top prize shall be notified by phone, e-mail, or regular U.S. mail. It is the sole responsibility of an entrant to maintain his or her contact information as current. Failure to notify VPX with any/all changes to your contact info will result in disqualification and no refunds offered. VPX is not responsible for incomplete, incomprehensible, or out-of-service contact information. If VPX is unable, after making a reasonable effort, to contact a selected potential winning team/individual, that winning team/individual will be disqualified and a new potential winning team/individual will be selected from remaining entrants.

Terms and Conditions; Limitation of Liability:

Participants are responsible for complying with all applicable federal, state, and local laws and regulations and with these Contest Rules, and, by entering, participants agree to be bound to these Contest Rules. Any security breach or other attempt by an entrant or other party to tamper with the proper administration of the Contest will disqualify the entrant and may result in civil or criminal action against the entrant or other party and may result in the discontinuation, suspension, or cancellation of the Contest. Winners and entrants agree, except where prohibited by law, to release and discharge, hold harmless and indemnify VPX and its affiliates, their employees, agents, and representatives, officers, and directors and their immediate families, successors, and assigns, and all others associated with the development and execution of this Contest, from any and all liability that may be imposed or associated with receipt or use of the prizes, and from and against any and all claims, actions, proceedings, and liability for any damages, expenses, fees, injury or losses (including personal injury or death) sustained in connection with the receipt, ownership, or use of the prize, or while traveling to, preparing for, or participating in, any Contest-related or prize-related activity. By entering the Contest or by winning the Contest, participants grant to VPX and its affiliates, except where prohibited by law, the right to publicize the participants’ names, photographs, images, likenesses, voices, statements, and biographical information for advertising, trade, and promotion purposes without compensation and without opportunity for review. All decisions of the Contest sponsors are final and discretionary. In the event the selected winners are ineligible or refuse the prize or in the event the prize is forfeited for any other reason, the prize will be forfeited and the Sponsors, in their sole discretion, may select an alternate winning team from the remaining entries. The laws of the State of Florida shall govern this Contest, without regard to Florida’s choice of law rules. The courts of Florida shall be the exclusive forum for any dispute relating to these rules and/or this Contest. All participants and winners agree, by their participation in this Contest, to submit to the personal jurisdiction of the courts of Florida

Force Majeure:

In the event that any of the Contest Sponsors are prevented from continuing with the Contest, or the integrity and/or feasibility of the Contest is undermined by any event beyond the Sponsor’s control, including, but not limited to, fire; flood; epidemic; earthquake; explosion; labor dispute; strike; act of God; public enemy act; satellite or equipment failure; riot or civil disturbance; war (declared or undeclared); terrorist threat or activity; and federal, state, or local government law, order, or regulation; order of any court or jurisdiction; or other cause not reasonably within Sponsor’s control; the Sponsors will have the right, in their sole discretion, to abbreviate, modify, suspend, cancel, or terminate the promotion without further obligation or liability to any participant.
